Shopee International Marketplace Terms of Servic

I. Introduction

1.1 Welcome to the Shopee International Mall Program (the "Program"). This programme is an additional service offered by Shopee Singapore Private Limited and its subsidiaries (" Shopee ") to Shopee registered sellers (" NB Sellers ") outside Singapore who are not registered businesses in their country of origin.

1.2 Through the program, NB Seller may sell its products on or through the Website, https://www.xpshop.cc/ and its mobile application, or any other Internet domain name property of Shopee or its affiliates (collectively, "Shopee Offshore")

1.3 These Shrimp International Mall Terms of Service are intended to cover the activities provided by Shrimp to NB Sellers under the Program, including but not limited to the collection, reconciliation and execution of all transactions between NB Sellers and buyers under the Program. If you are an NB seller, by continuing to participate in the Shopee Terms of Service, you are agreeing to the Shopee Terms of Service and other Shopee Policies of which these Shopee Terms of Service are a part. These Shopee Terms of Service are in addition to the Terms of Service and other Shopee Policies - please read the Terms of Service and other Shopee Policies available on the Singapore website as they contain important information about your rights and obligations. Any terms used in the Shopee Terms of Service that are not defined herein will have the meaning assigned to such terms in the Terms of Service and/or applicable Shopee policies. All terms and conditions described in the Shopee Terms of Service may be changed at Shopee's sole discretion in accordance with the Terms of Service.

1.4 Shopee reserves the right to change, modify, suspend or terminate the Program, in whole or in any part, at any time or upon notice as required by local law. Shopee may release beta versions of certain services or features of this program that may not work properly or in the same manner as the final version, in which case we accept no liability. Shopee may also, in its sole discretion, impose restrictions on certain features or restrict your access to part or the entire program without notice or liability.

1.5 If there is any difference between the terms in the Shrimp Skin Policy and these Shrimp Skin International Store Terms of Service, these Shrimp Skin International Store Terms of Service will continue to apply.

2. Sell goods on the shrimp skin overseas shopping website

2.1 After selling the products under this Plan on the Shrimp Skin website:

(a) Note that the Seller agrees to sell the goods to Shopee;

(b) Shopee, at its own expense, arranges for the purchased goods to be shipped to the address notified to the NB seller by the shipping company;

(c) Note that Shopee provides the Seller with the name of the delivery company, tracking number, and other information related to the order;

(d) Shopee shall resell the goods to the Buyer and charge the Buyer the Singapore listed price in US dollars; and

(e) Shopee shall remit the proceeds of the sale to NB Seller (less any applicable fees, charges, commissions and other deductions).

2.2 Orders shall be subject to reasonable inspection by Shopee, and Shopee may reject any product that is defective, does not comply with the requirements of the order, is reasonably believed to be counterfeit, or violates the Terms of Service or Shopee policies.

3. Obligations, representations and warranties

3.1 Nothing in these Terms of Service shall release NB Seller from any obligation, liability, representation or warranty owed by NB Seller to Buyer under the Terms of Service, the policies of NB, or the legal operations relating to its products.

3.2 For the avoidance of doubt, any fees set forth in the Terms of Service and the Shrimp Skin Policy applicable to NB Sellers will continue to apply.

3.3 You agree to indemnify, defend and hold harmless the Company and its shareholders, subsidiaries, affiliates, directors, officers, agents, co-brands or other partners and employees (collectively, the "Indemnified Parties") against any damages. All claims, actions, proceedings and actions and all related liabilities, damages, settlement penalties, fines, costs and expenses (including, without limitation, any other dispute resolution costs) of any indemnified party arising out of or in connection with: (b) In connection with any transaction on the Singapore Site, or any dispute relating to such transaction, (b) Shopee warrants, (d) you violate or breach any provision of these Shopee Terms of Service or any policy guide referenced herein, (e) your use or misuse of any Service, (f) you violate any law or any rights of a third party, or (g) any content you upload.
